Provider Terms

Explorio — operated by GC Hospitality Labs LTD

These Provider Terms govern how independent activity providers list and sell activities through Explorio — myexplorio.com, the Explorio app and Explorio kiosks — operated by GC Hospitality Labs LTD (“Explorio”, “we”, “us”). By listing an activity on Explorio or by accepting a booking made through it, the Activity Provider agrees to these Provider Terms. Where Explorio and the Activity Provider have also signed an Individual Agreement, both apply; if they conflict, the Individual Agreement prevails.

Important: Explorio is a booking intermediary only. The contract for each activity is concluded between the Guest and the Activity Provider. The Activity Provider alone is responsible and liable for its activities — including their safety, quality, staff, equipment, insurance and compliance with the law — and indemnifies Explorio against any claim arising from them.

1. Definitions

  • “Explorio” / “we” — GC Hospitality Labs LTD, the operator of the Platform.
  • “Activity Provider” / “Provider” — the independent business that owns, organises and delivers an Activity listed on Explorio.
  • “Activity” — any leisure experience, tour, class, rental or service offered for booking through Explorio.
  • “Guest” — any person who books or takes part in an Activity through Explorio.
  • “Listing” — the information about an Activity published on the Platform, including description, photos, inclusions, prices, availability, meeting point, requirements and cancellation policy.
  • “Booking Fee” — the portion of the activity price that the Guest pays online at the time of booking; “Balance” — the remaining amount, payable by the Guest directly to the Provider on the day of the Activity.
  • “Platform” — myexplorio.com, the Explorio app, Explorio kiosks and the booking technology behind them.
  • “Individual Agreement” — any separate written agreement between Explorio and the Provider, including the commercial terms (commission, fees, payouts).

2. Explorio’s role

Explorio markets the Provider’s Listings, accepts bookings from Guests, collects the Booking Fee online and passes the booking details to the Provider. Explorio is not the organiser, operator or supplier of any Activity and is not a party to the contract between the Guest and the Provider. Explorio does not inspect, supervise or control Activities and gives no warranty as to their safety, legality or quality.

The Provider acts as an independent business. Nothing in these Provider Terms creates an employment, partnership, joint-venture or agency relationship in which the Provider could bind Explorio.

3. Provider obligations

The Provider shall, for as long as it lists Activities on Explorio:

  • hold and keep valid all licences, permits, registrations and approvals required to offer and operate each Activity (including those of the competent Cyprus tourism, maritime and local authorities), and provide copies to Explorio on request;
  • deliver every confirmed booking as described in the Listing and at the price shown to the Guest;
  • employ suitably qualified, trained and, where required, certified staff, skippers, guides and instructors;
  • keep all equipment, vessels and vehicles safe, maintained, inspected and compliant with applicable rules;
  • give Guests the required safety briefings and safety equipment, and inform them in advance of any risks and of any age, health, weight, skill or other participation requirements;
  • comply with all applicable laws, including health and safety, consumer protection, tax, employment and environmental law;
  • keep its Listings accurate, complete and up to date, and correct any inaccuracy without delay;
  • not charge Guests more than the Balance shown at booking, nor any fee that was not disclosed in the Listing.

4. Insurance

The Provider shall maintain, with a reputable insurer and for as long as it lists Activities on Explorio, adequate public (third-party) liability insurance and any other insurance required by law for its Activities (for example passenger liability insurance for vessels). The cover must include injury, death and loss of or damage to property of Guests and third parties.

The Provider shall provide a current insurance certificate within seven (7) days of Explorio’s request and inform Explorio immediately if cover lapses or is reduced. Explorio may suspend the Provider’s Listings until adequate cover is in place.

5. Liability of the Provider

The Provider is solely responsible and liable for the performance of its Activities and for any injury, illness, death, loss or damage to persons or property arising out of or in connection with an Activity, as well as for the acts and omissions of its staff, instructors, subcontractors and suppliers. Explorio has no liability for these matters.

6. Indemnity

The Provider shall indemnify, defend and hold harmless Explorio, GC Hospitality Labs LTD, its affiliates and partner hotels, and their officers, employees and agents, from and against all claims, demands, proceedings, losses, damages, fines, costs and expenses (including reasonable legal fees) arising out of or in connection with:

  • any Activity provided or offered by the Provider;
  • any inaccurate, incomplete or misleading Listing or content supplied by the Provider;
  • any breach of these Provider Terms or of applicable law by the Provider;
  • any negligent or wilful act or omission of the Provider, its staff or subcontractors.

Explorio will notify the Provider of any such claim within a reasonable time and cooperate reasonably, at the Provider’s cost, in its defence.

7. Limitation of Explorio’s liability

To the fullest extent permitted by law:

  • Explorio’s total liability to the Provider arising out of or in connection with these Provider Terms is limited to the commission Explorio earned from the Provider’s bookings in the twelve (12) months before the event giving rise to the claim;
  • Explorio is not liable for loss of profit, revenue, business or goodwill, or for any indirect or consequential loss;
  • Explorio is not liable for interruptions or errors of the Platform, or for events beyond its reasonable control.

Nothing in these Provider Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or for death or personal injury caused by negligence.

8. Bookings & payments

A booking is confirmed once the Guest has paid the Booking Fee online; Explorio then passes the booking details to the Provider. The Booking Fee is collected by Explorio through its payment processor. The Balance is payable by the Guest directly to the Provider on the day of the Activity.

Commission, payouts and invoicing are governed by the Individual Agreement or, where none exists, by the terms shown in the Provider’s Explorio account. Each party is responsible for its own taxes, including VAT.

9. Cancellations & changes

The Provider sets the cancellation policy shown in its Listing; it applies to Guests and must not be changed for bookings that are already confirmed. If the Provider cancels or cannot deliver a confirmed booking (for example because of weather, safety or minimum-numbers requirements), it shall inform the Guest and Explorio without delay and offer a re-booking where possible. If no re-booking is agreed, the Guest receives a full refund of the Booking Fee, and Explorio may recover the corresponding amount from the Provider, including by set-off against payouts, unless the cancellation was caused by Explorio.

10. Guest complaints

The Provider shall handle complaints about its Activities promptly and in good faith and cooperate with Explorio in resolving them. Explorio may forward complaints to the Provider and may, but is not obliged to, mediate between the Guest and the Provider.

11. Data protection

Each party is an independent controller for the Guest personal data it processes. The Provider shall use Guest data received through Explorio only to deliver the booked Activity and to meet its legal obligations, shall not use it for marketing without the Guest’s consent, and shall comply with the General Data Protection Regulation (EU) 2016/679 and Cyprus Law 125(I)/2018, including appropriate security measures.

12. Content & intellectual property

The Provider grants Explorio a non-exclusive, royalty-free licence to use, reproduce, adapt (for example translate, crop or resize) and publish the names, logos, descriptions, photos and videos it supplies, for operating and promoting the Platform. The Provider warrants that it holds the necessary rights and that its content does not infringe the rights of third parties.

13. Suspension & termination

Explorio may suspend or remove Listings with immediate effect in case of safety concerns, serious or repeated Guest complaints, missing licences or insurance, or a breach of these Provider Terms. Either party may end the listing of Activities on Explorio with thirty (30) days’ written notice. Bookings confirmed before the end date must still be honoured unless agreed otherwise. Sections 5, 6, 7, 11 and 15 survive termination.

14. Changes to these Provider Terms

We may update these Provider Terms from time to time. We will inform Providers by email or in their Explorio account at least thirty (30) days before a change takes effect, unless a shorter period is required by law. Continuing to list Activities after that date constitutes acceptance of the updated Provider Terms.

15. Governing law & jurisdiction

These Provider Terms are governed by the laws of the Republic of Cyprus. The competent courts of Cyprus have exclusive jurisdiction over any dispute arising out of or in connection with them.
